Terms of Use is operator-authorized for public publication. External counsel approval is not recorded and remains recommended before material commercial or regulatory reliance.
Agreement and eligibility
By accessing an Omega website or service, you agree to these Terms. If you use Omega for an organization, you represent that you have authority to bind it. You must be at least 18 and legally capable of entering the agreement. A signed order form, master agreement, DPA, or product-specific term controls if it expressly conflicts with these Terms.
Omega services
Omega provides websites, software, documentation, APIs, connectors, AI-assisted workflows, company operating tools, and related support. Features may change as the product develops. Beta, preview, evaluation, or experimental features may be incomplete, changed, suspended, or withdrawn and should not be used as the sole control for critical decisions.
Accounts and administrators
You must provide accurate information, protect credentials, use reasonable access controls, and notify Omega of suspected compromise. Customer administrators control users, permissions, connectors, and Customer Content in their environment. Activity performed through an account is attributed to that account unless Omega confirms unauthorized access.
Customer Content and instructions
You retain ownership of Customer Content. You grant Omega and its subprocessors the limited rights needed to host, process, transmit, reproduce, and display it to provide, secure, support, and improve the contracted service. You are responsible for lawful collection, permissions, notices, instructions, and the accuracy of Customer Content.
AI outputs and human judgment
AI and automated outputs can be incomplete, inaccurate, non-unique, or unsuitable. You must evaluate outputs and use qualified human review for legal, medical, financial, employment, safety, security, or other consequential decisions. Omega does not guarantee that an output is correct, lawful, available, or fit for a particular purpose.
Acceptable use
You must comply with the Acceptable Use Policy and may not use Omega to violate law, rights, security controls, provider restrictions, or agreed usage limits. Omega may investigate, limit, suspend, or remove activity that creates material legal, security, operational, or reputational risk.
Packages, fees, and taxes
Paid services are governed by the package, order, checkout, or signed agreement presented at purchase. You authorize applicable charges and are responsible for taxes other than taxes on Omega's income. Usage, capacity, credits, limits, renewal, cancellation, and refund terms are those shown in the controlling order or package terms. Past-due amounts may result in suspension.
Third-party services
Connectors, identity providers, model providers, payment services, and other third-party products may have separate terms and privacy practices. Omega is not responsible for third-party services outside its control. You authorize Omega to exchange data with a third party when you enable the integration.
Omega intellectual property
Omega and its licensors own OmegaOS, software, interfaces, designs, documentation, trademarks, and service technology. Except for the limited right to use the service under these Terms, no rights are transferred. Feedback may be used without restriction or payment, provided Omega does not identify you publicly without permission.
Confidentiality
Non-public product, security, commercial, or customer information disclosed in circumstances indicating confidentiality must be protected with reasonable care and used only for the relationship. This obligation does not cover information lawfully public, already known without duty, independently developed, or rightfully received from another source.
Suspension and termination
You may stop using free services at any time and may terminate paid services as the controlling order allows. Omega may suspend access for non-payment, security risk, unlawful use, material breach, provider dependency, or harm to the service or others. On termination, access ends and data export or deletion follows the agreement, retention policy, and legal obligations.
Disclaimers
To the maximum extent permitted by law, websites, previews, and services are provided as available and without implied warranties of merchantability, fitness, non-infringement, uninterrupted operation, or error-free results. Express commitments appear only in the controlling agreement.
Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Omega's aggregate liability arising from a paid service is limited to amounts paid for that service during the 12 months before the event giving rise to liability; for free services it is limited to CAD 100. Limits do not apply where prohibited by law or to liability that cannot legally be limited.
Governing law and contact
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict rules. Courts located in Ontario have exclusive jurisdiction unless a controlling agreement requires another forum. Questions and legal notices can be sent to legal@omeganeural.com.
